1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of haivl.org (the “Site”), operated by HaiVL (“HaiVL,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least 13 years old to use HaiVL. If you are between 13 and 17, you may only use the Site with parental or guardian consent. The Site is not directed to children under 13, and we do not knowingly collect information from children under 13.
You may not use the Site if you are barred from receiving services under applicable law, or if your account has previously been terminated by us.
3. Account Registration
You may browse HaiVL without an account. To post, comment, or vote, you must create an account. When registering, you agree to:
- Provide accurate and complete information
- Maintain the security of your password
- Promptly notify us of unauthorized account access
- Be responsible for all activity under your account
We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, particularly for violations of these Terms or our Community Guidelines.
You may not create multiple accounts to evade enforcement actions, manipulate voting, or otherwise abuse the platform.
4. User Content
4.1 Your Content
“User Content” means any text, image, video, link, or other material you submit, post, or display on the Site. You retain ownership of your User Content.
4.2 License You Grant Us
By submitting User Content, you grant HaiVL a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and publicly display your User Content in connection with operating, providing, and promoting the Site.
This license continues for as long as your User Content remains on the Site. It terminates when you or we delete the content, except where:
- Backup copies retained for technical reasons
- Content shared by other users remains in their copies
- Required by law to retain
4.3 Representations
By submitting User Content, you represent and warrant that:
- You own the content or have necessary rights to submit it
- Your content does not violate any third party’s rights (copyright, trademark, privacy, publicity)
- Your content complies with these Terms and our Community Guidelines
- Your content is not unlawful, defamatory, fraudulent, or misleading
4.4 We Don’t Endorse User Content
User Content reflects the views of the user who posted it, not HaiVL. We do not endorse, verify, or guarantee the accuracy of User Content. You access User Content at your own risk.
4.5 Our Right to Moderate
We may, but are not obligated to, monitor, review, edit, or remove User Content at our sole discretion. We may remove content that violates these Terms, our Community Guidelines, or applicable law. We may suspend or terminate accounts of users who repeatedly violate our rules.
We are not liable for User Content posted by users.
5. Acceptable Use
You agree not to:
- Post content that violates our Community Guidelines
- Post unlawful, harassing, threatening, defamatory, obscene, or hateful content
- Post content that infringes others’ intellectual property rights
- Post content that contains malware, viruses, or harmful code
- Use the Site for spam, phishing, scams, or fraudulent activity
- Manipulate voting through bots, multiple accounts, or coordinated activity
- Scrape, harvest, or collect user data without authorization
- Reverse engineer or attempt to extract source code from the Site
- Interfere with the Site’s operation, security, or other users’ enjoyment
- Impersonate any person or misrepresent your affiliation
- Use the Site for any commercial purpose without our written consent
Violations may result in content removal, account suspension, permanent ban, IP blocking, and where applicable, referral to law enforcement.
6. Intellectual Property
6.1 Our IP
The Site, including its design, code, logos, and original content (excluding User Content), is owned by HaiVL and protected by US and international intellectual property laws. You may not copy, modify, distribute, or create derivative works of our IP without permission.
6.2 Third-Party Content
The Site may include content owned by third parties (e.g., embedded YouTube videos, linked content). Third-party content is subject to the terms of its respective owners.
6.3 Copyright Infringement
We comply with the Digital Millennium Copyright Act (DMCA). To report copyright infringement, see our DMCA Policy.
7. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains what data we collect, how we use it, and your rights regarding your data.
8. Advertising and Third-Party Services
The Site may display advertisements from third-party ad networks (such as Google AdSense). These ads are served by third parties, and we are not responsible for their content. Your interactions with advertisers are between you and the advertiser.
The Site may link to third-party websites. We are not responsible for the content, policies, or practices of third-party sites.
9. Termination
We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or Community Guidelines
- Activity that creates legal, security, or operational risk to HaiVL
- Inactivity for an extended period
- Discontinuation of the Site
You may delete your account at any time by contacting us at contact@haivl.org. Account deletion does not remove User Content already shared by other users or required to be retained by law.
Upon termination, your right to use the Site ceases immediately. Sections 4.2 (license), 5 (acceptable use violations), 6 (IP), 10 (disclaimers), 11 (limitation of liability), and 12 (dispute resolution) survive termination.
10. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, HaiVL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF USER CONTENT OR ANY OTHER CONTENT ON THE SITE.
YOUR USE OF THE SITE IS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HaiVL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
- ANY CONTENT OBTAINED FROM THE SITE
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless HaiVL and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your User Content
- Your use of the Site
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property or privacy
13. Dispute Resolution
13.1 Informal Resolution
Before filing a formal claim, you agree to attempt to resolve the dispute by contacting us at contact@haivl.org. We will attempt to resolve disputes informally within 60 days.
13.2 Governing Law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles.
13.3 Venue
Any legal action arising from these Terms must be filed in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.
13.4 No Class Actions
You agree to resolve disputes with us only on an individual basis. You may not bring claims as a plaintiff or class member in any class, consolidated, or representative action.
14. Changes to Terms
We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms with a new “Last Updated” date and, where appropriate, sending notice via email or on-site notification.
Continued use of the Site after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site.
15. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and HaiVL.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Our failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Headings: Section headings are for convenience only and do not affect interpretation.
